Terms & Conditions

These Terms & Conditions govern your use of the Medienwerkzeuge website at medienwerkzeuge.com and your subscription to Medienwerkzeuge Studio, our online image toolkit. By subscribing you accept these Terms.

1. Who we are

Medienwerkzeuge GMB Ltd is a company registered in England and Wales under company number 17086190, with its registered office at Flat 1c, 1 St. Martins Close, London, United Kingdom, NW1 0HR. Contact: support@medienwerkzeuge.com (Mon–Fri 09:00–18:00 (UK)).

2. What we provide

We license Medienwerkzeuge Studio, a browser-based image and media toolkit, on a monthly subscription. The toolkit comprises compression and optimisation, format conversion, resize and crop, watermarking and bulk processing. That software is the entirety of what we sell through this website.

Medienwerkzeuge Studio is software, not a service performed by us on your behalf. We do not keep your books, invoice your customers, contact them, collect money owed to you, or handle, hold or transfer any funds belonging to you or to anyone else.

3. Regulatory status

Medienwerkzeuge GMB Ltd is not authorised or regulated by the Financial Conduct Authority and is not a payment institution, e-money institution, bank or credit provider. We do not provide payment services, we do not operate payment accounts, we do not issue or acquire payment instruments, and we do not execute payment transactions on behalf of any person.

The only payments we are involved in are the subscription fees you pay us for your own licence. Those are collected by an authorised payment service provider under its own licence. Nothing on this website is an offer of credit, finance, factoring or invoice discounting.

4. Subscriptions, billing & renewal

Plans are Studio (€79/month), Agency (€89/month) and Production (€95/month). Each plan carries the daily task allowance, maximum file size, bulk-processing and seat entitlements shown on the pricing page at the time of purchase. Prices are in euros and include VAT where applicable.

Subscriptions are billed monthly in advance by SEPA Direct Debit under a mandate you grant at checkout, and renew automatically until cancelled. You may cancel at any time from your account or by emailing support@medienwerkzeuge.com; cancellation stops the next renewal and access continues to the end of the period already paid for. We will give at least 30 days’ notice by email before any price change, and you may cancel before it takes effect.

The toolkit processes your files locally in your own browser. We do not receive, upload or store the files you process. You keep all rights in your content; we grant you a non-exclusive, non-transferable licence to use the toolkit for your own business or personal purposes for the duration of your subscription. You must not resell, sublicense or attempt to reverse-engineer the service, nor use it to process unlawful material.

The service is provided on an “as available” basis. We do not warrant uninterrupted availability and recommend you retain your own copies of source files.

5. Cancellation & refunds

Where you are a consumer, you have a statutory right to cancel a distance contract within 14 days of purchase. Because access to the toolkit is granted immediately, you expressly request performance to begin at once and acknowledge that once you have started using the service you lose the right to cancel in respect of the service already supplied; where performance has begun but is incomplete, any refund is proportionate to what has been supplied.

Outside that period, subscription fees already paid are non-refundable, save where the service was materially unavailable or misdescribed, or where the law requires otherwise. If a payment is taken in error we refund it in full to the originating account. To request a refund, contact support@medienwerkzeuge.com — we respond within 5 business days.

Under the SEPA Direct Debit scheme you may also instruct your bank to refund an authorised payment within 8 weeks of the debit date.

6. Payment processing

Subscription payments are processed by an authorised third-party payment service provider, which acts as an independent controller of the payment data it receives and is subject to its own obligations under the Payment Services Regulations 2017, anti-money laundering law and scheme rules. We do not receive or store your full payment credentials. The provider is identified in our Privacy Policy.

7. Use of this website

You may use this website for lawful purposes only. You must not attempt unauthorised access to the site or its systems, introduce malicious code, or reuse content from the site for commercial purposes without our written consent. Site content is general information, not financial advice.

8. Intellectual property

All content on this website — text, branding, logos and design — is owned by or licensed to Medienwerkzeuge GMB Ltd and protected by intellectual property law.

9. Limitation of liability

Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded by law. Subject to that, we accept no liability for indirect or consequential loss arising from use of this website or the toolkit, and our aggregate liability in connection with a subscription is limited to the fees you paid us in the 12 months before the claim arose.

10. Governing law

These Terms, and any dispute arising out of them or your use of this website, are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
